CopyCat Subscription Agreement
Version 1.0
Effective November 2, 2026
This Subscription Agreement ("Agreement") is between CopyCat Technologies, Inc., 5101 14th Ave NW Ste 200, Seattle, WA 98107 ("CopyCat"), and the customer agency ("Customer").
The Customer accepts this Agreement by agreeing to it at checkout or by signing an order form that refers to it. The person accepting confirms they have authority to bind the Customer.
1. Order details#
The plan, price, number of users, billing frequency and term are what the Customer selects or agrees to at checkout, or in an order form signed by both parties.
If a signed order form conflicts with this Agreement, the order form controls.
2. Subscription terms#
The subscription runs on one of these term types:
- Month-to-month: renews every month. Either party can cancel before the next billing date.
- Annual, billed monthly: a 12-month commitment paid in monthly installments.
- Annual, prepaid: a 12-month commitment paid upfront.
A free trial, if offered, lasts for the period shown at checkout. When it ends, the subscription starts and the payment method on file is charged, unless the Customer cancels first.
3. Renewal#
Annual terms renew automatically for another 12 months, unless either party gives written notice at least 30 days before the term ends.
CopyCat may change prices at renewal with at least 45 days' written notice, so the Customer has time to decide whether to renew.
4. Early cancellation#
On an annual term, the Customer can stop service at any time, but the remaining fees for the current term stay due, except as section 11 says.
Prepaid fees are non-refundable, except as section 11 says.
5. Payment#
Fees are charged automatically to the payment method on file. If a payment fails, CopyCat may suspend access, after giving notice, until the payment is made.
Setup fees, if any, are one-time and non-refundable. Fees do not include taxes.
6. Users#
Each seat belongs to one named user. Logins cannot be shared. The Customer can add users at any time at its current per-user rate.
7. Customer responsibilities and AI output#
CopyCat uses AI to extract and present information from documents the Customer uploads.
The Customer is responsible for reviewing all proposals, comparisons and other outputs before sending them to clients, and for coverage advice and placement decisions.
CopyCat is a tool, not a licensed insurance producer, and does not provide insurance advice.
8. Customer data#
CopyCat follows SOC 2 guidelines for security, availability and confidentiality. Its Trust Center shows current compliance status.
CopyCat's Terms of Service and Privacy Policy explain how it handles Customer data.
9. Support and onboarding#
Onboarding and support are included as described for the Customer's plan.
CopyCat does not commit to a specific uptime service level unless one is in a signed order form.
10. Intellectual property#
CopyCat owns the platform. The Customer owns its outputs and its branding. Custom templates CopyCat builds for the Customer are covered by the Terms of Service.
11. Termination#
CopyCat may terminate this Agreement if the Customer does not pay, or if the Customer materially breaches this Agreement and does not fix the breach within 30 days of notice.
The Customer may terminate this Agreement if CopyCat materially breaches it and does not fix the breach within 30 days of notice. CopyCat then refunds prepaid fees for the rest of the term, and no further fees are due.
12. Warranty disclaimer#
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT THE LAW ALLOWS, COPYCAT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. COPYCAT DOES NOT PROMISE THAT THE SERVICE OR ITS OUTPUTS WILL BE UNINTERRUPTED OR ERROR-FREE.
13. Limitation of liability#
To the extent the law allows, CopyCat's total liability under this Agreement is capped at the fees the Customer paid in the 12 months before the claim.
CopyCat is not liable for indirect or consequential damages.
14. Governing law#
The laws of the State of Delaware govern this Agreement. Disputes are resolved as section 15 of the Terms of Service describes.
15. General#
- Entire agreement: this Agreement, any signed order form, the Terms of Service and the Privacy Policy are the entire agreement between the parties about the subscription. If they conflict, the order form controls first, then this Agreement, then the Terms of Service. Termination for convenience in the Terms of Service does not apply to a subscription under this Agreement.
- Assignment: the Customer may not assign this Agreement without CopyCat's written consent. CopyCat may assign it as part of a merger, acquisition or sale of substantially all of its assets.
- Notices: CopyCat sends notices by email to the account owner. The Customer sends notices by email to hello@runcopycat.com.
- Changes to this Agreement: CopyCat may publish new versions and gives at least 30 days' notice by email. A new version applies to the Customer at its first renewal after that notice.
- Severability: if part of this Agreement cannot be enforced, the rest stays in effect.
